Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and ZRI Systems Inc. ("Zarori," "we," "us," or "our") governing your access to and use of the zarori.ai website, our consulting services, and any related platforms or services we provide, including Dialabot.ai.

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use our website or services.

Our Services

ZRI Systems Inc. provides AI governance consulting, advisory services, standards development support, and related professional services. We also develop and operate technology platforms including Dialabot.ai.

Consulting Services

Consulting engagements are governed by separate written agreements (Statements of Work, Master Services Agreements, or similar contracts). In the event of any conflict between these Terms and a signed consulting agreement, the consulting agreement prevails.

Website and Platform Use

Access to our website is provided for informational purposes. Access to specific platforms or services may require registration and acceptance of additional terms.

User Responsibilities

When using our website or services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes and in compliance with applicable laws
• Respect intellectual property rights
• Not attempt to gain unauthorized access to our systems or interfere with their operation

Consulting Deliverables

Intellectual property rights in consulting deliverables are governed by individual consulting agreements. Unless otherwise specified in a signed agreement, we retain ownership of our methodologies, frameworks, tools, and pre-existing intellectual property.

Your Content

If you submit content to us, you grant us a non-exclusive, royalty-free license to use such content for our business purposes. You retain ownership but represent that you have the right to share it.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind.

• ZRI Systems Inc. shall not be liable for indirect, incidental, special, or consequential damages
• Total liability shall not exceed the greater of the fees paid in the previous twelve months or $500 CAD

Indemnification

You agree to indemnify and hold harmless ZRI Systems Inc. and its directors, officers, employees, and agents from claims arising from:

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.

2. Non-binding mediation in Windsor, Ontario

Termination

We may suspend or terminate access to our services at any time. Provisions that should survive termination will remain in effect.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and consulting agreements, constitute the entire agreement.

Severability

If any provision is unenforceable, remaining provisions remain in effect.

Waiver

Failure to enforce any provision does not constitute a waiver.

Assignment

You may not assign rights without consent. We may assign freely.

No Agency

Nothing in these Terms creates a partnership, joint venture, or employment relationship.
